1.TERMS

These terms and conditions cover the services supplied by ZEE Digital LLC (“ZEE Digital”) to you.  The words “Company”, “we”, “us”, or “our” in these terms and conditions are a reference to ZEE Digital.  The word “you” and “your” in these terms and conditions are references to an individual or entity that has interest in acquiring services or has acquired services from ZEE Digital.


Creating an account on our systems (See section 5) or purchasing our services (See section 5).  is an agreement these terms and conditions.


At any time, we may choose to update our terms and conditions. We will email you prior to the update.


If you have a need to acquire services to meet the Health Insurance Portability and Accountability Act (HIPAA) or any security assurance program, please do not proceed any further.  We are unable to provide a Business Associate Agreement or a System and Organization Controls Reporting (See Security Controls – See Section 15).  Please do not acquire our Services.


If you have a need to have data residency in a specific country, please do not acquire our Services.


If you have a need to conduct any prohibited or illegal activity (See section 16) or are currently conducting prohibited or illegal activity, please do not proceed any further. Please do not acquire our Services.

2.WHO WE ARE

We are ZEE Digital LLC, a company incorporated in Massachusetts, United States. Our mailing address is 163 Highland Avenue #1025, Needham, MA 02494, United States.  You can contact us by email at info@zeedigital.net.  


We provide various services and the applicable services covered as part of these specific terms and conditions is in the Our Services section.



3.OUR SERVICES

We provide the following Services as part of reseller agreements with other companies (a.k.a. suppliers).


A.Website (“Web”) Hosting Service – The service provides for storage space that can service website pages through website hosting software. We are a reseller of hosting meaning that we contract with another company, webhosting supplier, for an allocation of space on their own web hosting services. We then market our service to the public.  

    Our responsibility: We work with our webhosting supplier to provide and deliver webhosting services.  We will provide you support to this service initiated via support tickets on the client portal (https://clients.zeedigital.net). We provide daily backups of data however, backups are a) best effort and b) may take some space from your hosting space, and c) may be corrupted if your data itself is corrupted or includes malware. If you need a bespoke backup solution, please contact us.  We provide the ability to restore backups however, restoration is a best effort process. 


    Your responsibility: You are required to ensure you are not hosting any prohibited or illegal activity.   You are required to keep your hosting storage space under the existing plan space limits.  You are responsible for the integrity of our data meaning any issues you encounter from uploading or interacting with your data (including emails) stored on the webhosting service.  You are responsible for any restoration action you take.  You are responsible for You are required for timely payment or rendered services.



B. Domain Name – The service provides for purchasing, hosting, and transferring your domain name. We are a reseller of domain names meaning that we contract with another company, domain name supplier, for the ability to purchase and transfer domain names. We then market our service to the public.  Domain Name and Domain Name Service (“DNS”) have different meanings. Domain Name refers to the actual digital property (e.g. zeedigital.net) while DNS is referencing a technical configuration or capability that makes a Domain Name work such as Mail Exchange (MX) records.  In the context of this section, Domain Name is being referenced.


    Our responsibility: We work with our domain name supplier to provide and deliver domain name services. We will provide you support to this service initiated via support tickets on the client portal (https://clients.zeedigital.net)


    Your responsibility: You are required to ensure you represent yourself (or your company if using company name, title, address, email) accurately within domain name services. You are required to ensure you are not using domain name services for prohibited or illegal activity.  You are required for timely payment or your domain name prior to its expiration as we will not warn you of expiration.

Domain Name Purchase

    Our responsibility: We work ensure that your purchase of the domain name makes its way to the domain name supplier and we pay for the purchase on your behalf. We will provide you support to this service initiated via support tickets on the client portal (https://clients.zeedigital.net)


    Your responsibility: You are responsible for the validity for your payment method.  You are required to ensure you represent yourself (or your company if using company name, title, address, email) accurately within domain name services.  


Domain Name Transfer

    Our responsibility: We work ensure that your purchase of the domain name makes its way to the domain name supplier and we pay for the purchase on your behalf.


    Your responsibility: You are responsible for the validity for your payment method.  You are required to ensure you represent yourself (or your company if using company name, title, address, email) accurately within domain name services. You are required to supply the proper authorization code in the client portal (https://clients.zeedigital.net) when you receive it from your current provider when initiating a domain transfer since an improper code may delay or invalidate a transfer.  You are responsible to Verify the domain if you get an email from our domain name supplier. 


C. Email Services – As part of the both Web Hosting Service and Domain Name Services, we provide the ability to send e-mail using SMTP. 


We have a zero-tolerance policy against spam and the sending of bulk, unsolicited e-mail is prohibited at all times. Customers who abuse the email service will be notified that their behavior is unacceptable and may have their accounts suspended, terminated or blocked.


Our responsibility: We work to ensure the email service is operational. We work to ensure outbound mail is scanned by a cloud-based spam filtering system.


Your responsibility: You are responsible the following: 

a.    not to send emails that might cause annoyance, inconvenience or anxiety to a recipient;

b.    not to send any emails likely to cause distress or any material which is offensive, indecent, obscene, menacing or in any way unlawful; 

c.    to have a clear opt out policy in all newsletter communications;

d.    not to use our mail services or network to send email to any user who does not wish to receive it;

e.    not to use our mail services or network to send unsolicited email, in bulk (commonly known as 'spam') or individually;

f.    not to use our mail services or network with intent to deprive others of service ('mail bomb');

g.    not to use false mail headers or alter the headers of mail messages in such a way as to conceal the identity of the sender;

h.    not to use any email address that you are not authorized to use;

i.    to ensure that any email servers connected to our network and operated by you are not configured to allow 'open relay';

j.    to take full responsibility for your own email reputation;

k.    not to take any action that would put you or us in breach of obligations under the General Data Protection Regulations or Data Protection Act 2018.



4. GENERAL OBLIGATIONS


By purchasing these services, you agree that:


  • a.    You take full responsibility that your data may be distributed globally since our web hosting supplier (See Section 17) uses global infrastructure.
  • b.    You have the responsibility of accepting that data residency may not be possible with our global infrastructure.  
  • c.    You will be held to certain United Kingdom laws (see f, g, h) as our web hosting supplier (see Section 17) is domiciled in the United Kingdom and abides by those laws.  
  • d.    Your sole responsibility to ensure that the content and materials on any website owned or operated by you contains material that you have created or have permission to use.
  • e.    Your sole responsibility is to resolve any dispute involving Copyright or Intellectual Property Rights associated with your website or web service. You agree to indemnify ZEE Digital against all costs, including legal costs, of defending any claim against us from any third party regarding your use of copyright or intellectual property rights in relation to any claims made against you or us Worldwide.
  • f.    You must not use your website or web service to promote or distribute any material or content that is illegal (under any current or future legislation) in either the United Kingdom or any other jurisdiction in which your website or web service is operational. You should be aware that the internet is a global communications network and what may be legal in the UK may be illegal elsewhere and leave you liable to prosecution in another country.
  • g.    Legal adult content as defined by United Kingdom law is allowed not allowed on our servers.
  • h.    If you are not located in the United Kingdom and intend to upload adult content of any type onto your website or web service you must contact us prior to placing any order. We reserve the right to decline to offer our services at our absolute discretion. 
  • i.    ZEE Digital reserves the right to undertake investigation of content services if potential abuse is brought to our attention and to remove any web page on our servers at any time and for any reason. Any accounts found to be abusive, contain illegal content or otherwise break our terms of service will be liable for immediate termination.
  • j.    You will abide by laws and regulations in your region or country of domicile and also abide by Data Protection Regulations or Data Protection Act 2018 and the Children’s Online Privacy Protection Act.


5. SYSTEMS


Website Domain Search – The website page ( https://zeedigital.net/domains.html ) allows the public to search for domain names.


Website Webhosting Description – The website page ( https://zeedigital.net/web-hosting.html ) allows the public to view the descriptions of the webhosting service.


Client Portal – The website page ( https://clients.zeedigital.net/  ) allows registered users to purchase services.  Anyone in the public may register for an account.


Control Panel – A multi-functional system to configure your webhosting environment with changes such as but not limited to uploading and storing files for to be viewed as a website, configuring DNS records, provisioning email services, and installing and editing Cpanel applications.



6.PAYMENT, BILLLING, TAXES, AND REFUND

Our services charge for payment at different frequencies. Web hosting services charge every month, domain name purchase services are charged immediately on purchase or renewal, and domain name transfer services are charged immediately on purchase.


We bill invoices directly from our client portal (https://clients.zeedigital.net) or may use WaveApps (https://www.waveapps.com ) in case there are issues with client portal billing.


We currently do not include taxes however, taxes may be imposed if your jurisdiction requires it or If changes to local rules for our company domicile require taxes.


We only refund for webhosting services if there has been a mistake where you entered into the services by accident.  We can cancel webhosting services at any-time and we will pro-rate your current payment obligation for the billing period.


We do not refund for domain name purchases or transfers. Once you purchase the ‘domain’, you own it.  If you do not wish to use your purchased ‘domain name’, you may transfer it or let the domain name expire.


7. PERSONALLY IDENTIFIABLE INFORMATION


We store the following information about yourself if you register on the client portal (https://clients.zeedigital.net).  The information stored includes:

•    Name

•    Email

•    Telephone Number (if you which to supply it)

•    Address

•    Company information (if you are representing your company)


Since we are resellers, we do pass your information to payment provider, our web hosting supplier. and domain name for both web hosting service and domain name service.


For payment for rendered services, we will pass your billing information to PayPal (https://paypal.com).


For the web hosting service, we pass your data to Upmind (https://www.upmind.com) data which is the service provider to us for the client portal(https://clients.zeedigital.net).


For the domain name service, we pass your information to domain name supplier ENom (https://enom.com) in order for them, Enom, to purchase the domain and follow ICAAN(https://www.icann.org)


If you want your information deleted, please contact us and we will delete your information. Keep in mind that for domain names, since ICANN requires each registrant to keep contact information accurate, you if you buy domain names, we are unable to delete that data once you are no longer a domain name service customer with us.

8.DISPUTES

If you feel that we have not fulfilled our service, you may reach out to us to describe your dispute. We will do our best to accommodate you. You may reach us at our email: info@zeedigital.net.   


9.OPT-OUT

You may opt out of our emails for promotions and company updates.  However, our obligation to fulfilling a service agreement means that we will need to contact you in email about your service including but not limited to:

o    Outages

o    Changes to Terms and Conditions

o    Non-Payment of Services

o    Detected Prohibited or Illegal Activities

o    Subpoenas or inquiries from law enforcement, local, or government supervisors.



10.SERVICE PARAMETERS AND LIMITATIONS


    Unlimited Bandwidth – We provide unlimited bandwidth meaning you do not have any data caps for transferring or serving data as part of the web hosting services.  However, should we receive any complaints from our web hosting supplier about abuse, we may have to put a limit on bandwidth.


    Disk Space – We provide fixed amounts of disk space for web hosting service customers.  We have two service tiers.  You will have to be responsible for managing the disk space.  If you need additional disk space, you may


    Backups – We advertise daily backups.  Backups are a) best effort and b) may take some space from your hosting space, and c) may be corrupted if your data itself is corrupted or includes malware. If you need a bespoke backup solution, please contact us.  We provide the ability to restore backups however, restoration is a best effort process.  We cannot be held responsibility if there is a force majeure event that produces irreparable harm that impacts our ability to provide Service.


    Availability – Our goal is to provide 99.9% service availability.  However, we are reliant on suppliers and provide this as best effort.


11.ERRORS AND BUSINESS COST

We strive for the highest quality.  No one is ever perfect. Should we make errors, we will do our best to fix them.  If you are not satisfied, we will work with you to address your concerns. Please refer to Disputes (section 8)


12.SYSTEM ABUSE

You may not use the Service in anyways that brings down the normal operating functions of the Service or degrades the security controls of the Service.  These abuses include but not limited to:


•    Conducting port scanning, penetration testing, and pings of death against your Web Hosting IP address, ZEE Digital Name Servers, domain name and subdomain names, files and resources on the Web Hosting space, and the environment providing the Services.

•    Email Spamming

•    Using our Services as an Open Email Relay.



Any System abuse will be dealt with and are grounds for instant termination.


13.COURT ORDERS AND LAW ENFORCEMENT


We have to follow laws and rules of the United States and the United Kingdom.  Any requests for information from these governments and law enforcement of these governments will require us to surrender information about our Services and will require the surrender of the Services you have purchased, the configuration of your account, and your data.  We also have to abide by the rules of local and state rules and also need to surrender the same data points.


You agree that through the purchase of these services, you will follow the rules of the United States, United Kingdom, local, and states; and when asked, to the surrender of the Services you have purchased, the configuration of your account, and your data to law enforcement.


You agree to be responsible for all legal costs and penalties if you have requests for information or a case against you.


15.SECURITY CONTROLS

We are unable to produce detailed security control testing information needed for security assurance programs such as but not limited to HIPAA.  We are able to provide general descriptions of security controls upon request.


16. PROHIBITED AND ILLEGAL ACTIVITY


You are prohibited from using are Services in the following manner:

     

a) to violate United States Federal, state, local, or United Kingdom law;

b) to transmit of store information, offensive, sexual in nature, rude, lewd, pornographic, related to nudity, adult content, defamatory, libelous, harassing, racist, obscene, vulgar, profane, indecent information, tortious, abusive, illegal, prejudice, discriminatory or otherwise inappropriate or objectionable;

c) to transmit any marketing, advertising or promotional materials, including without limitation any “spam,” “junk mail,” or other deceptive or unsolicited bulk or commercial email;

d) to harm, or attempt to harm, minors in any way;

e) to transmit any content, data, or material that infringes upon the intellectual property rights or other personal rights (including privacy) of any third parties;

f) to use the Products and/or Websites in connection with unsolicited, unwanted, or harassing communications, including without limitation, SMS messages, phone calls, voice mail, chat, video, or email;

g) to transmit any content, data, or material that contains viruses, spyware, spiders, robots, worms, Trojan horses, logic bombs, or any other type of malicious or deleterious programs;

h) to use our Services to collect information about other users, including telephone numbers or email addresses, without any such individual’s prior explicit consent or otherwise under false pretenses of any kind;

i) to post and/or store material that promotes, incites, or facilitates acts of violence, hate speech, and/or terrorism;

j) to use or implement cryptocurrency mining, cryptominting, render farming, committing or promoting any type of illegal activity including, but not limited to, fraud, mailbombing, denial of service attacks, storing and/or housing and/or linking to illegal content, including but not limited to, “warez,” “hacking” /“cracking”/“key generators,” gambling, obscene material or be used in the traffic of illegal materials;

k) to host Bit torrent servers or install Bit torrent trackers;


You agree that the list of prohibited services and illegal activity is subject to change.


You agree to be responsible for all legal costs and penalties should you be alleged or found to conduct prohibited and illegal activity.


17.SUPPLIERS WE USE

Our Services are delivered as repackaged products and the following suppliers (aka vendors, third parties) are used to deliver services to you.


Verpex Limited (“Verpex”) provides the underlying web hosting platfrom and is responsible for providing the hosting system configuration, networking and bandwidth, and applications such as CPanel and WHM.  Verpex sells a Reseller Webhosting plan and we have purchased the plan to delivery our own webhosting service. https://verpex.com



eNom provides domain name services that allow us to purchase domains and then resell to you. https://enom.com 


PayPal provides payment aggregation services that allow us to ingest and transmit payment information.  https://paypal.com


Upmind – Provides the client portal where you can purchase services or manage your purchased service.  https://upmind.com


WaveApps – Provides alternate invoicing for our services. https://www.waveapps.com


We must also abide by the terms of our suppliers in order to deliver our Services.

We do not have any responsibility for the third-parties our suppliers use and recognize that there may be changes to the third-parties they use.


You agree that any violation of supplier terms that are a result of Your actions are not are responsibility and You agree to cooperating in remediating any terms violation issues that arise or cancellation of Services if that remediations any terms violation issues. You agree that we are not responsible for the third-parties our suppliers use.


18. SERVICE CANCELLATION AND ACCOUNT DELETION


At anytime you may cancel purchased Services or delete your account.  However, there are impacts to either of those actions you should be fully aware of.


For Service Cancellation, we refer to either Web Hosting, Domain Name, or Email.


a)    Web Hosting – You may cancel this at any time and we will pro-rate the remainder of your billing period.  We charge a monthly fee for this Service.  Should you cancel this Service on day X, we will cancel immediately and charge you for X days from the start of your current billing period only.  If you have not paid any of your bills from prior billing periods, we will require unpaid bills to be paid and the current month’s pro-rated amount.


We will not be able to recover your account once it is cancelled.


You take full responsibility for your data on the Web Hosting Service and we are not responsibility once it is cancelled.


b)    Domain Name– We do not refund for domain name purchases or transfers. Once you purchase the ‘domain’, you own it.  If you do not wish to use your purchased ‘domain name’, you may transfer it or let the domain name expire.  Your domain name service will always be active as long as you have an account on the Client Portal and you pay the amount due for renewal.  



c)    Email – We don’t sell Email as it is part of either Web Hosting or Domain Name offerings however, it is an add-on functionality and the cancellation of either Web Hosting or Domain Name may impact Email if you are using it.


For Account Deletion, we refer to the Client Portal (https://clients.zeedigital.net) as the account of record.  You may delete the account at anytime or if you have issues, please email us and we will delete with your consent.  If you have active Services with us, the deletion of this Account may cause issues with either the purchased Web Hosting Service or Domain Name Service and we may not be able to recover the account to work properly with either the purchased Web Hosting Service or Domain Name Service.  You take full responsibility that Account Deletion may harm either the purchased Web Hosting Service, Domain Name, or Email Services.


19. OPERATIONAL RISK

There may be circumstances that from a business perspective, Our Company, ZEE Digital may need to wind down business operations.  If could happen in a variety of ways such as changes in company direction, force majeure event disrupts services continually, or financial hardship. In such cases, we will notify you 45 days in advance to move or salvage any data from our Systems.  We will work to the best of our ability to migrate your data.



20. DEFINITIONS


Account – Your individual identity or your organization’s representative identity stored within our Systems.


Client Portal – A specific System that used to manage your Account and the Account’s relationship to Services.  The functions of this System include but not limited to billing and payment, Account authentication, and general account management. The Client Portal is accessed using a web browser to navigating to: https://clients.zeedigital.net


CPanel – A System with various configuration parameters and software to manage the delivery of Services.


CPanel Applications – Any software pre-installed or installable in your web hosting account that can be used to manage the delivery of Services.


Customer – A person or organization that purchases goods or services from a servicer.


System – The environment or multiple environments that are used to deliver Services.


Server - A computer or computer program.


Service – A means to deliver value to customers.


Reseller – A company that provides a Service or Services and has purchased the Service or Services with the goal to resell to their own Customer or Customers. 


Website – A collection of resources that are access by web browser software.
